Company and Corporate

Company law is extensive and complex. No matter in what capacity you are involved with a limited liability company shareholder, director, company secretary or senior manager - you need to have an understanding of your rights and responsibilities. We have the experience to give you advice on these.

A limited company is owned by the shareholders who decide on the company policies. Usually the day to day running is delegated to the directors who are appointed by the shareholders. The administration and responsibility for ensuring that legal requirements are complied with is in the hands of the company secretary who may be a director but might not be. There are personal penalties for non-compliance particularly if Returns are not made to Companies House. We can guide you.

If you are thinking of setting up a limited company or changing the status of your business to a limited company we can help and register a company for you. You may be expanding and want to issue more shares or change the share structure. We will explain how this is done and prepare the necessary resolutions for the directors and the shareholders. The company is governed by its Memorandum of Association (which sets out the companys relation with others) and its Articles (that govern the internal running of the company). We can prepare these to suit your needs or amend them if the company wants to change what it does or how it runs.

You will also need advice on employment law and have in place policies such as Health & Safety and Discrimination. We will tailor make these for your company.

Generally our company clients have an ongoing relationship with us. This enables us to be proactive and contact you when there is a change in the law or regulations thereby ensuring that your policies and procedures are up-to-date at an early stage.
